1. Definitions
Throughout these Terms and Conditions, the following terms have these meanings:
- "Service" refers to investment consulting services provided by Equinox Advisory
- "Client" or "You" refers to individuals or entities engaging our services
- "We," "Us," or "Our" refers to Equinox Advisory

- "Agreement" refers to these Terms and Conditions plus any service-specific engagement terms
- "Content" refers to information, materials, and documentation provided through our services
2. Acceptance of Terms
By accessing our website, requesting consultations, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.
These terms apply to all visitors, prospective clients, and clients of Equinox Advisory. Specific service engagements may be governed by additional terms outlined in engagement agreements, which supplement but do not replace these general terms.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. By engaging our services, you represent and warrant that you meet these requirements.
3. Service Description
Equinox Advisory provides investment consulting services focused on Taiwan market opportunities. Our services include:
- Balance Assessment: Initial consultation and opportunity evaluation
- Calibration Service: Ongoing coordination and process support
- Equilibrium Program: Comprehensive oversight for significant investments
Service availability, scope, and specific deliverables are outlined in individual engagement agreements. We reserve the right to modify service offerings, though existing engagement agreements remain unaffected by such changes.
4. Client Responsibilities
As a client, you agree to:
Information Accuracy
Provide accurate, complete, and timely information necessary for service delivery. You are responsible for the accuracy of information you supply and understand that our consulting is based on information you provide.
Cooperation
Cooperate with reasonable requests for information, documentation, or clarification needed to provide effective consulting services.
Independent Judgment
Make independent investment decisions based on your own judgment. Our services provide information and analysis to support your deliberation, not directives or guarantees.
Confidentiality
Maintain confidentiality regarding our consulting methodologies, proprietary analysis frameworks, and any information designated as confidential.
5. Intellectual Property
All content, materials, methodologies, analysis frameworks, and documentation provided by Equinox Advisory remain our intellectual property. This includes but is not limited to: written reports, presentations, assessment frameworks, and proprietary analysis tools.
Upon payment of applicable fees, you receive a limited, non-exclusive, non-transferable license to use deliverables for your internal business purposes related to the specific engagement. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Client-provided information and materials remain your property, though you grant us license to use such information solely for providing consulting services.
6. Payment Terms
Fees and Pricing
Service fees are specified in engagement agreements and on our website. All fees are quoted in New Taiwan Dollars (NT$) unless otherwise stated. Pricing is subject to change, though existing engagement agreements honor originally quoted fees.
Payment Schedule
Payment terms are outlined in engagement agreements. Typically, Balance Assessment requires full payment upon engagement. Calibration Service and Equilibrium Program may involve structured payment schedules. Payment is due within 15 days of invoice unless otherwise agreed.
Refund Policy
Refunds are considered on a case-by-case basis within 7 days of engagement commencement if services have not yet been substantially delivered. Once significant work has begun, fees are non-refundable as consulting resources have been committed.
7. Disclaimers
Service Provided "As Is"
Our consulting services are provided on an "as is" basis. While we maintain professional standards and apply careful methodology, we make no warranties regarding specific outcomes or investment results.
No Investment Guarantees
Investment consulting involves analysis and assessment but cannot guarantee future results. Market conditions, regulatory environments, and numerous other factors affect investment outcomes. Our services provide information to support your decision-making, not assurances of particular results.
Not Financial Advice
Our consulting services provide analysis and information but do not constitute financial advice, legal advice, or other professional services requiring specific licensing beyond investment consulting. You should consult appropriate licensed professionals for financial planning, legal matters, or accounting services.
8. Limitation of Liability
To the maximum extent permitted by Taiwan law, Equinox Advisory's total liability arising from or related to services provided shall not exceed the fees paid for the specific engagement giving rise to the claim.
We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, lost business opportunities, or investment losses, even if we have been advised of the possibility of such damages.
This limitation applies to all claims, whether based on contract, warranty, tort, or any other legal theory. Some jurisdictions do not allow certain liability limitations, so portions of these limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Equinox Advisory, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from: your use of our services, your violation of these terms, your violation of any rights of third parties, or inaccurate information you provided.
10. Confidentiality
Both parties agree to maintain confidentiality of information designated as confidential or that reasonably should be understood as confidential. This obligation survives engagement termination.
Confidential information may be disclosed when required by law, legal process, or regulatory authority. The receiving party shall provide prompt notice of such requirements when legally permissible.

11. Termination
Either party may terminate an engagement with written notice. Termination terms specific to each service level are outlined in engagement agreements.
Upon termination, you remain responsible for fees for work completed through the termination date. We will provide deliverables for work substantially completed prior to termination.
Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination of the engagement.
12. Governing Law and Dispute Resolution
Governing Law
These Terms and Conditions are governed by the laws of Taiwan, without regard to conflict of law principles.
Jurisdiction
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.
Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution through direct discussion. Either party may request a resolution meeting by providing written notice describing the dispute.
13. General Provisions
Entire Agreement
These Terms and Conditions, together with engagement agreements and our Privacy Policy, constitute the entire agreement between you and Equinox Advisory regarding our services.
Severability
If any provision of these terms is found unenforceable, that provision shall be modified to achieve its intent to the maximum extent possible, and remaining provisions remain in full effect.
Waiver
Failure to enforce any provision does not constitute waiver of that provision or any other provision. Waivers must be in writing to be effective.
Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations with notice to you.
Notice
Notices required under these terms shall be provided in writing to the contact information most recently provided. Email to [email protected] constitutes valid notice to us.
14. Changes to Terms
We may modify these Terms and Conditions periodically. Material changes will be communicated through prominent website notice or direct communication to active clients. The "Last Updated" date indicates the most recent revisions.
Continued use of our services following term changes constitutes acceptance of updated terms. Existing engagement agreements remain governed by terms in effect when the agreement was executed.
